The PROSTAR Constitution
Ever since PROSTAR was officially established on 24 th of November 1996, the programme has encountered a variety of experiences and events. Even at this early stage, PROSTAR confronts many obstacles and challenges that shall be faced resolutely by all its members.

1. NAME AND ADDRESS OF ORGANISATION
  • This organisation is known as ‘ Kelab Program Sihat Tanpa AIDS Untuk Remaja Malaysia' (PROSTAR), hereinafter called “The PROSTAR CLUB”.
  • The registered address of the organisation is: c/o The AIDS/HIV Branch, Public Health Department, Ministry of Health, Malaysia , First Floor, Block E, Jalan Dungun, Damansara Heights , 50490 Kuala Lumpur , or at any other place or places which the Committee shall determine from time to time. The registered address of the organisation cannot be changed without the prior permission of the Registrar of Societies.
2. OBJECTIVES
  1. The PROSTAR CLUB is an organisation that strives to ensure that the problems of AIDS and other social ills can be checked by activities that are positive and acceptable to Malaysians.

  2. To create a stratum of youths with the ability, endurance and mental strength to deal with the AIDS problem and other social ills.

  3. To increase youths' knowledge about and awareness of the dangers of HIV infection, as well as its prevention and control.

  4. To instil positive attitudes and healthy lifestyles among youths based on pure moral values in the efforts to prevent, deal with, and eradicate HIV, AIDS, and other social ills.

  5. To foster spiritual values and leadership qualities among youths who are worthy, healthy, bright, and innovative; who are visionary and love their country.

  6. To develop a generation of youths who are moral, self-respecting, and who are responsible towards themselves, their families, their races, their religions and their country.

  7. To train youth facilitators, consultants and counsellors who are empowered to coordinate efforts to counter and eradicate the threat of AIDS to our youths.

  8. To organise campaigns, exhibitions, seminars and training sessions designed to educate and explain, as well as to disseminate information.

  9. To organise charitable and social activities.

  10. To set up a PROSTAR CLUB Fund in order to finance PROSTAR CLUB activities and to aid other Non-Governmental Organisations registered with the Registrar of Societies.

  11. To encourage the formation of branches and to supervise the work carried out by them, including recruiting new members, training and facilitating the various PROSTAR CLUB activities.

  12. To represent our youths at local and foreign HIV/AIDS-related conferences.

  13. To work together and strengthen relationships with other organisations that have the same aim as the PROSTAR CLUB, irrespective of race or creed, in order to foster a feeling of friendship and harmony at the national and international levels.

3. LOGO

  • The logo of the PROSTAR CLUB is the word ‘PROSTAR', which is short for ‘ Program Sihat Tanpa AIDS Untuk Remaja '.

  • The letter ‘S' symbolises people actively participating in this programme.

  • The dot above the ‘S' symbolises a man's head and reminds us of the dangers that can threaten our lives.

  • The use of the colour red in the words and in the dot symbolises PROSTAR's seriousness in its efforts to deal with the HIV/AIDS problem.

4. MEMBERSHIP
•  PROSTAR membership is divided into four categories:
(a) Ordinary Membership: Open to Malaysian citizens aged 18 years and above. An Ordinary Member has the right to vote and hold office in the PROSTAR CLUB.
(b) Junior Membership: Open to Malaysian citizens aged 13 to 17 years, on the condition that the applicant obtains written permission from his / her parents or legal guardian and the Headmaster of his / her school first. A Junior Member does not have the right to vote or hold office. A Junior Member will automatically become an Ordinary Member on reaching 18 years of age. (c) Honorary Membership: An Honorary Member is appointed by the Committee and does not have the right to vote or hold office.

•  Life Membership: Life Membership is open to Ordinary Members who have the right to vote and hold office in the PROSTAR CLUB.

•  An application to become a member shall be approved by the District / State-level PROSTAR CLUB Committee. An application to become a member shall be made in the official form of the PROSTAR CLUB.

•  Every applicant whose application has met the conditions stated above and who has paid the prescribed entry fee and initial fee, will be accepted as a member of the PROSTAR CLUB and has all the rights of membership.

•  A student of a University or University-College may be accepted as a member of the PROSTAR CLUB after obtaining written permission from the Administrator of that University or University-College.

5. ENTRY FEES, ANNUAL FEES AND OTHER PAYMENTS

•  The Entry Fee shall be paid to the Treasurer of the District / State Committee when submitting the membership application form. Should the application be rejected, the Entry Fee will be refunded.

•  The Annual Fee shall be paid to the Treasurer of the PROSTAR CLUB. This fee shall be paid in advance and not later than 31 January each year

.•  A member who has neglected to pay his Annual Fee for more than three (3) months after it has become due will receive a reminder signed by the Secretary or his representative. The member shall forthwith lose all rights as a member until the fee is paid

.•  A member who has neglected to pay his Annual Fee for more than six (6) months after it has become due will automatically lose his membership of the PROSTAR CLUB and the Committee may order that appropriate action be taken against him, on condition that they are satisfied that the member has received a reminder of his debt earlier

.•  The Committee shall have the power to determine a Re-Entry Fee for anyone who has lost his membership due to neglect in paying the Annual Fee.

. 6. CESSATION OF MEMBERSHIP AND DISMISSAL OF A MEMBER
•  A member who wishes to stop being a member of the PROSTAR CLUB shall submit a written request to the Secretary at least two weeks before the date on which he wishes to stop being a member and shall pay all debts due to the Club.
•  Any member who fails to comply with the regulations of the PROSTAR CLUB or behaves in such a way as to tarnish the good name of the PROSTAR CLUB may be dismissed or have his membership suspended for a period that is considered reasonable by the Committee. Before the Committee dismisses or suspends the membership of the member, the member shall first be notified in writing of the reasons for his dismissal or suspension. The member shall be given the opportunity to explain his action or actions and defend himself. The dismissal or suspension shall be carried out unless a decision has been made in a General Meeting to postpone or overrule the decision to dismiss or suspend, on the strength of an appeal made by the member.
7. General Meetings
1) National-level PROSTAR General Meeting
    • The administration of the PROSTAR CLUB is determined at the General Meeting. At least one-third of the members eligible to vote or three times the number of Central Committee members, whichever is less, shall be present at a General Meeting before there is a sufficient quorum and the meeting can be held.

    • If there is an insufficient quorum half an hour after the time set to begin the meeting, then the meeting shall be postponed to a date (not later than 30 days) to be decided on by the Committee; and if the quorum is still not sufficient half an hour after the time set to begin the postponed meeting, then the members present are empowered to hold the meeting but have no power to change the Constitution of the PROSTAR CLUB or to make decisions that are binding on all members.

    • The Annual General Meeting shall be held once a year at any time determined by the Central Committee members but not later than eighteen (18) months after the date of the last General Meeting. The General Meeting at this level shall be held according to the order of procedure, i.e. the General Meeting at the District level shall be held before the General Meeting at the State level and the General Meeting at the State level shall be held before the General Meeting at the National level. At these General Meetings, the selection of members for every level of General Meeting shall be carried out and the number of representatives for every level shall be determined by the Central PROSTAR CLUB administration and this will be announced from time to time. The provisions in the Constitution of the PROSTAR CLUB shall be followed.

    • The agenda of the Annual General Meeting shall include the following:

    • Receiving and approving the minutes of the previous General Meeting

    • Submitting before the meeting and accepting the Report of the Central Committee regarding the activities of the PROSTAR CLUB in the previous year.

    • Submitting before the meeting and accepting the Treasurer's Report and Audited Statement of Accounts for the previous year.

    • Selecting the Central Committee members and the Examiners of Accounts once every two years

    • Submitting and discussing proposals, if any.

    • A notice of the meeting together with a copy of the previous year's Audited Statement of Accounts shall be sent at least fourteen (14) days before the Annual General Meeting is held.

2) Extraordinary General Meetings

  • An Extraordinary General Meeting shall be held when requested in any one of the following ways:
  • By a written request from two-thirds (2/3) of the Central Committee members.
  • By a written request from at least one-fifth (1/5) of the members who are entitled to vote, explaining the purpose and reason for the meeting. This request shall be sent to the Secretary-General.
  • The Extraordinary General Meeting requested by the members shall be held on a date within one (1) month of the date of receipt of the request for the meeting. Notice of the meeting shall be sent at least fourteen (14) days before the Extraordinary General Meeting is held.
  • Should there be an insufficient quorum half an hour after the time set for the meeting to be held, then the meeting shall be cancelled. An Extraordinary General Meeting requested by the members for the same purpose cannot be held within six (6) months of this date.
